Amazon.com said it closed the US$8.5 billion acquisition of film studio Metro-Goldwyn-Mayer (MGM) after regulators declined to challenge the deal, cementing the company's biggest takeover in 5 years.

The closing, announced on Thursday (Mar 15) in a statement on the company's website, marks the latest deal by a US technology giant to win approval despite criticism that the companies have been able to gobble up smaller firms with little pushback from competition enforcers.

European Union regulators signed off on the MGM deal on Tuesday after finding it posed no competition problems.

In the US, the deadline for the Federal Trade Commission (FRC) to challenge the deal before the deal closed passed without the agency taking action.

The FTC still has the authority to sue to block the deal in the future if a majority of commissioners vote to file a lawsuit.

The commission is currently split between 2 Republicans and 2 Democrats, including chair Lina Khan, while US President Joe Biden's nominee for the fifth seat awaits Senate confirmation.

Amazon shares were little changed at US$3,062.67 at 9.35 am in New York.

Amazon gets first 'sell' rating since 2020

Amazon’s capital spending is going to be much higher than the market expects, while profit margins will be hurt by “inflation shocks” .

The average analyst target sits at a whopping US$4,102, 21% above current levels.

The US$10 billion buyback less than 1% of its market cap, it’s really not a signal of confidence from the company.

Amazon said shareholders of record on May 25 will receive 19 extra shares of the group for each one held. Trading is expected to begin on a split-adjusted basis on June 6.

Amazon Stock Could Move Below $2750

When we look at Amazon's (NASDAQ:AMZN) chart, we can see its fall from the $2975 level on Apr. 22 to the $2900 on Apr. 26 and further down in the $2800, finding support at the $2750 level.

During yesterday’s session, it opened with a gap up and continue to rise intraday, closing the day strongly in the $2887 range where it was last found trading, having closest temporary support at the $2750 and overhead resistance at the $2975 range.

Amazon had scheduled a quarterly earnings announcement yesterday, in an after-hours session. It missed both EPS and Revenue expectations so we could expect the price to move substantially downwards, towards the $2600.

Today we can expect a move well below the $2750 closest support level, possibly in the $2620 range. If however, it manages to hold on to the current level then a move towards and below the $2975 closest resistance level can be expected.

Amazon could easily jack up the price of Prime, analyst explains

Amazon raised the monthly price for Prime earlier this year to $14.99 from $12.99. The yearly membership fee jumped to $139 from $119.

Amazon's sale increase of 7% in the quarter, compared to a 44% rise in the same period last year, marking the company's slowest growth rate in more than two decades.

Potential $4 billion hit to profits in the second quarter from the same factors.

Amazon results and outlook fall short as warehouse, fuel costs soar

The company's expenses swelled as it offered higher pay to attract workers.

A fulfilment center in New York City voted to create Amazon's first US union, a result the retailer is contesting.

And the higher price of fuel risks diminishing consumers' disposable income just as it is making delivery more expensive for Amazon,

Hiking the price of its fast-shipping club Prime last quarter may not be enough to prop up its profit.

The company expects to lose as much as US$1 billion in operating income this quarter, or make as much as US$3 billion. That's down from an operating profit of US$7.7 billion in the same period last year.

AWS increased revenue 37% to US$18.4 billion.

In North America, the company's largest market, sales rose 8% while operating expenses soared 16% to US$71 billion.

Planned to close all 68 of its bookstores, pop-ups and other home goods shops.

Focusing more on groceries. It recently automated two Whole Foods locations to make them cashierless. The company's physical store sales grew 17% to US$4.6 billion.

Amazon.com, Inc. (AMZN): Earnings Announced on Thursday, April 28

The company reported adjusted earnings of $7.56 per share, well below analysts’ estimates for earnings of $8.73 per share.

Revenue rose 7% year-over-year to $116.44 billion, slightly above analysts’ projections for revenue of $116.3 billion.

This compares to earnings of $15.79 per share on revenue of $108.52 billion in the same quarter of last year.

The 7% revenue growth marked the company’s slowest rate of any quarter since the dot-com bubble burst in 2001. For reference, last quarter’s sales growth rate was 44%. The net loss of $3.84 billion is the company’s first loss since 2015.

The company also noted a $7.6 billion loss from its investment in electric vehicle (EV) automaker Rivian for the poor results.

The stock plunged as much as 15% on Friday in the wake of its disappointing results.
